Richards, Layton & Finger Lawyers Update their Guide to Corporate Governance

WILMINGTON, Delaware (January 6, 2010) – Richards, Layton & Finger is pleased to announce that three of its attorneys, Gregory V. Varallo, Daniel A. Dreisbach and Blake Rohrbacher, have written the second edition of Fundamentals of Corporate Governance: A Guide for Directors and Corporate Counsel. Published by the ABA in December 2009, the book is a practical, user-friendly guide to corporate governance and corporate law. The authors have substantially updated their original best-selling book to reflect the new laws and important cases that have emerged since the 1996 edition, producing one of the few resources written by practicing corporate lawyers for directors and in-house counsel to address the countless governance issues that directors face.

Varallo focuses his practice on complex corporate and business litigation, corporate governance and corporate transactions. Vice chair of Richards Layton’s Corporate Department, he has litigated numerous complex business disputes in the Delaware courts and has also appeared on behalf of the firm’s clients in state and federal courts throughout the United States. Varallo earned a J.D. from Temple University School of Law and a B.A. from the University of Pennsylvania.

Dreisbach’s practice involves advising and litigating on behalf of corporations, special board committees, limited liability companies and partnerships. A director in the firm’s Corporate Department, he has represented entities in hostile and friendly takeovers, governance disputes and the defense of investor-initiated litigation in both state and federal courts. Dreisbach received a J.D. from Temple University School of Law and a B.S. both from Lehigh University and Pennsylvania State University.

Rohrbacher, an associate in the firm’s Corporate Department, focuses his practice on litigation as well as advisory and transactional matters relating to Delaware corporations and alternative entities. He has represented numerous corporations, directors and alternative entities in the Delaware courts in corporate control, corporate governance, statutory and contractual disputes. Rohrbacher earned a J.D. from Yale Law School and a B.A. from Yale University.
