Benjamin Esparza focuses his practice on transactional matters involving Delaware corporations, limited liability companies, limited partnerships, general partnerships, and statutory trusts. He has experience drafting contracts and rendering advice on the formation and operation of Delaware corporations and alternative business entities, the enforceability of contracts governed by Delaware law, choice of law issues, and questions concerning mergers, acquisitions, joint ventures, and asset sales and purchases.

Benjamin Esparza focuses his practice on transactional matters involving Delaware corporations, limited liability companies, limited partnerships, general partnerships, and statutory trusts. He has experience drafting contracts and rendering advice on the formation and operation of Delaware corporations and alternative business entities, the enforceability of contracts governed by Delaware law, choice of law issues, and questions concerning mergers, acquisitions, joint ventures, and asset sales and purchases.

Benjamin has also practiced as a litigator before Delaware’s Court of Chancery and has worked on cases involving fraud, breaches of fiduciary duties, shareholder demands, and demands for corporate books and records.

During law school, Benjamin worked on white-collar criminal investigations and prosecutions as an intern in the Special Prosecutions Unit of the Suffolk County District Attorney’s Office. He also participated in Boston University’s Entrepreneurship and Intellectual Property Law Clinic, where he advised students and start-ups at the Massachusetts Institute of Technology on corporate entity formation, start-up issues, contract drafting, venture funding, and how to protect intellectual property rights.

Prior to pursuing a career in law, Benjamin worked in higher education as a college admissions officer at some of the most selective universities in the country and remains passionate about issues related to education and college access. He currently serves on the board of directors of Las Americas ASPIRA Academy, a bilingual charter school in Newark, Delaware. Benjamin lived in Mexico for 15 years and is fluent in Spanish.
