Takeaways from 'Delaware Developments'

A panel of expert Delaware corporate law practitioners, moderated by Gregory P. Williams, analyzed significant decisions from the Court of Chancery and the Delaware Supreme Court in the past year, including, among other topics, the Delaware Supreme Court’s recent decision in Wal-Mart and its effect on both the distinction between class and derivative actions and the collateral estoppel effect of dismissal pursuant to Rule 23.1, the enforceability and effectiveness of exclusive forum provisions, and the standard of judicial review applicable to director compensation plans as addressed in cases such as Citrix and Investors Bancorp.
