Overview

Claire Love’s vast expertise in trust and trustee representations encompasses virtually all asset classes and numerous transaction structures.

Claire concentrates her practice on transactional matters involving Delaware statutory trusts, with a particular focus on structured finance transactions. She has significant experience representing banking institutions and trust companies in connection with their trust and agency services—including in their roles as owner trustee, Delaware trustee, indenture trustee, collateral agent, custodian, paying agent, administrator, registrar, and exchange agent—in a variety of commercial transactions.

She serves as special Delaware counsel to issuers, investors, underwriters, arrangers, and others with respect to structured finance transactions involving

  • asset-backed securities,
  • hybrid capital securities,
  • real estate financings,
  • covered bond issuances, and
  • equipment lease transactions.

Claire’s practice includes providing advice on the formation, structuring, and operation of master trusts, owner trusts, series trusts, grantor trusts, titling trusts, real estate investment trusts, common law trusts, and liquidating trusts in transactions of all types, including public and private offerings and off-shore and cross-border transactions. Claire also has experience with structuring special purpose bankruptcy-remote entities to protect against substantive consolidation with affiliates and other persons.
