Overview
Co-head of the firm’s Uniform Commercial Code team, Eric Schwartzman has particular expertise in Articles 8 and 9 of the Delaware UCC.
Eric provides advice on a variety of commercial transactions, including securitization, structured finance, financing, and secured transactions. In addition, he advises clients regarding the formation, structuring, and operation of Delaware entities, including limited liability companies and limited partnerships. Eric also provides advice and legal opinions in connection with investment fund and joint venture transactions.
As a member of the Delaware State Bar Association UCC Subcommittee, recently Eric has been involved in preparing the Uniform Commercial Code Article 12 amendments. Proposed new Article 12 of the UCC provides rules for transactions involving certain new types of digital assets, including cryptocurrency and non-fungible tokens.
