Overview
Frank Sun focuses his practice on transactional matters involving Delaware limited liability companies, limited partnerships, corporations, and other Delaware entities.
He provides advice and legal opinions on matters of Delaware law in connection with mergers, acquisitions, private equity fund financings, structured finance, securitizations, and joint ventures, including
- formation and operation of Delaware alternative entities and corporations,
- choice of law issues,
- enforceability of contracts governed by Delaware law, and
- creation and perfection of security interests under Article 9 of the Delaware Uniform Commercial Code.
In law school, Frank served as an intern to the Honorable Virginia M. Hernandez Covington at the United States District Court for the Middle District of Florida. He was also the international program director of the Louis D. Brandeis Center for Human Rights Under Law. Frank is fluent in Mandarin.
