Backed by more than 20 years of experience in matters involving Delaware limited liability companies and partnerships, Melissa advises clients on complex issues regarding the formation, operation, and dissolution of these alternative entities.  Her clients include many Fortune 500 companies and their subsidiaries, as well as some of the world’s largest financial institutions, private equity funds, and hedge funds.

Melissa has worked on numerous cutting-edge transactions, including utilizing series partnerships and limited liability companies.  She has been involved as Delaware counsel on many high-profile private deal restructurings and management buy-outs. The wide variety of transactions Melissa regularly handles includes

  • securitizations,
  • mergers and acquisitions,
  • hedge funds and private equity funds,
  • dissolution/winding-up,
  • reorganizations, and
  • joint ventures.

Melissa’s practice also involves analyzing fiduciary duty and contractual interpretation issues, drafting various agreements, deal structuring, rendering legal opinions, and giving support in litigation matters relating to Delaware limited liability companies and partnerships.
