Ray has successfully litigated numerous corporate control, corporate governance, statutory, and contractual disputes in Delaware’s state and federal courts. “A great, thoughtful litigator who gives clients very good advice” (Chambers USA, 2024), Ray also provides non-litigation counsel on these matters, advising Delaware business organizations and their fiduciaries and constituents. Clients report that he “has a lot of wisdom and knows the courts very well,” with one noting simply that “Ray is the one, he’s amazing” (Chambers USA, 2024).
Ray also advises corporate boards and board committees with respect to governance, litigation, investigational, and transactional issues. “A seasoned and effective litigator” (Chambers USA) who is noted for his knowledge of the Delaware Court of Chancery, Ray has lectured on Court of Chancery practice as well as fiduciary duties and governance in Delaware corporations.
