WILMINGTON, Delaware (July 1, 2019) – Richards, Layton & Finger is pleased to announce that the firm has elected attorneys Claire Love, Stephanie Norman, Zachary Shapiro, and Nathaniel Stuhlmiller as directors of the firm, and Marisa Terranova Fissel as counsel of the firm.

Claire Love concentrates her practice on transactional matters involving Delaware statutory trusts, with a particular focus on structured finance transactions. She has extensive experience representing banking institutions and trust companies in connection with their trust and agency services, and she frequently serves as Delaware counsel to issuers, investors, underwriters, arrangers, and others with respect to structured finance transactions. Claire also has experience with structuring special purpose bankruptcy-remote entities. She earned a B.A. from Goucher College and a J.D., with honors, from the University of Maryland School of Law.
Stephanie Norman focuses on transactional matters involving corporate governance, mergers and acquisitions, and corporate finance. She advises corporations, boards, and board committees regarding conversions, fiduciary duties, deal-protection measures, and other matters of corporate and contract law. Stephanie played a crucial role in the design and implementation of Delaware’s new ratification and validation statutes. She has published over 20 articles and is a sought-after speaker on Delaware corporate law and practice. Stephanie earned a B.A., magna cum laude, from New York University and a J.D. from Georgetown University Law Center.
Zachary Shapiro represents corporate debtors, secured and unsecured creditors, lenders, landlords, committees, independent directors, purchasers, and other parties in chapter 7, chapter 11, and chapter 15 bankruptcy cases and out-of-court restructurings. He has experience in many business segments, including retail, manufacturing, entertainment, energy, food products, insurance, and subprime mortgage lending. Zach also provides advice and legal opinions in connection with a variety of transactions under Delaware and federal bankruptcy law. He received a B.A. from Colorado College and a J.D., cum laude, from Temple University School of Law.
Nathaniel Stuhlmiller advises Delaware corporations on a wide variety of transactional and governance matters, including mergers and acquisitions, fiduciary duties, and corporate finance. He has guided public and private corporations through ratifying defective corporate acts and putative stock issuances, implementing and administering stockholder rights plans, and dissolving in accordance with Delaware law. Nate has published numerous articles and delivered presentations on issues involving Delaware corporate law and governance. He earned a B.S. from Syracuse University and a J.D., magna cum laude, from the University at Buffalo Law School.
Marisa Terranova Fissel focuses her practice on transactional matters relating to bankruptcy and substantive consolidation. She provides advice and legal opinions in connection with structured finance transactions. She also represents debtors, secured creditors, and other parties in interest in chapter 11 and chapter 7 bankruptcy proceedings. Before joining the firm, Marisa clerked for the Honorable Kevin Gross of the United States Bankruptcy Court for the District of Delaware. She earned a B.A., summa cum laude, Phi Beta Kappa, from Rutgers College and a J.D. from Fordham University School of Law.
